Terms and Conditions Social Media Management and Content Marketing
Introduction
Welcome to Virtualstaffhire! This Terms of Service Agreement (the “Agreement”) outlines the terms and conditions under which you (the “Client”) engage Virtualstaffhire to provide Social media and content marketing. By using our services, you agree to be bound by this Agreement. This Agreement becomes effective when you order with Virtualstaffhire (the “Effective Date”).
Satisfaction Guarantee / Refund Policy
We are dedicated to your success and satisfaction. If you are not satisfied with our services for any reason, please inform us within 14 days of receiving your first service. We will strive to resolve any issues; if we cannot, we will offer a full refund, no questions asked.*

1. Services Provided
Virtualstaffhire offers various services, including Social Media management and content marketing, as detailed on our website (www.virtualstaffhire.com). By signing up, you acknowledge that you have read and fully understood these terms.
1.1 Use of Third-Party Platforms
Working with third-party platforms such as collaboration tools and social media can sometimes result in issues like disconnections or password changes. If you change your password, notify us immediately to prevent service interruptions. Regularly reviewing your accounts and our work and providing feedback is advised. We are not liable for service disruptions caused by third-party issues. As long as we continue to produce content and perform tasks as agreed, our service is considered fulfilled. Disruptions caused by issues beyond our control are not grounds for a refund.
2. Our Responsibilities
2.1 Service Obligations
Virtualstaffhire will deliver services that are in line with our standard procedures. We reserve the right to decline clients at our discretion. We will handle all aspects of service delivery.
2.2 Changes to Policies
Virtualstaffhire may update its policies, including those related to privacy, pricing, and customer service, at any time. Changes will be effective upon posting on our website.
3. Fees, Payment, and service description
3.1 Payment Requirements:
All service fees must be paid entirely before services are rendered. A valid credit card must be kept on file for recurring monthly charges.
3.2 Initial and Recurring Charges:
Initial service charges are due in advance. Subsequent charges will be billed to the client’s credit card on the monthly anniversary of their initial order. Non-payment by the due date will result in service suspension until full payment is received. Suspended services will not receive prorated fee adjustments.
3.3 Refund Policy:
Except in cases of significant breach of this agreement by VirtualStaffHire, no refunds will be issued beyond the 14-day money-back guarantee, which applies only to the client’s first order. Refunds within this period will be processed once all social media posts created by VirtualStaffHire are deleted, and the client agrees not to use any created content post-refund. Fees are for time and work performed, not contingent upon marketing results. VirtualStaffHire may offer credits for verified mistakes.
3.4 Cancellation Policy:
Cancellations are made by emailing Admin@virtualstaffhire.com. No prorated refunds are issued for early cancellations within a billing period. Services will continue until the end of the billing period upon request, with any applicable discounted rates voided and adjusted accordingly.
3.5 Accrued Payments:
Continuation of work on overdue accounts will result in accrued back-payments without interest. Accurate records of all communication and work will be maintained to justify these payments.
3.6 Service Commencement:
Services start upon sign-up and commencement of the onboarding process, not the first post. No setup fees are charged, as this work is included in the monthly payment. If onboarding exceeds seven business days due to VirtualStaffHire’s delay, the billing date will be adjusted to ensure a whole month of service.
3.7 Agreement Supremacy: This agreement overrides all previous agreements on the same subject, including employee directives, unless formally agreed upon by the client and VirtualStaffHire’s executive management.
3.8 Platform Posting and Missed Posts:
Clients will be notified if their social media pages disconnect from posting software and must reconnect their profiles. VirtualStaffHire is not liable for missed posts due to client delays in reconnecting profiles. Clients should check their social media accounts twice a week for content review and feedback.
3.9 Quality of Posting:
Social media management is personalized. We provide credits, not refunds, for typos or scheduling errors. We will provide a 5% credit for the cost of 1 additional post.
3.10 Content Review and Approval:
Services will continue even if the client does not approve content. Billing may pause until backlogged content is approved and posted. Clients can cancel or resume billing after that, with one round of edits allowed per week.
3.11 Regular Content Review:
Clients must review their content panel and social media accounts bi-weekly to ensure satisfaction and identify missed posts. VirtualStaffHire is not responsible for missed posts due to client-side issues or editing/removing content that is older than two weeks.
3.12 Blog Articles:
Clients are allowed two revisions for blog articles, after which the content is considered final. No modifications will be made after one month without feedback.
3.14 Disputes:
Legal action will be taken for breaches of this agreement, and accounts will be turned over to debt collection and reported to credit agencies.
3.15 non-technical clients:
Extensive onboarding support is provided, but refunds are only issued after the money-back guarantee. If clients are frustrated, they can complete the month of service but must recognize the time and work already invested.
3.17 Business Structure and Client Communication:
As an online subscription service, Clients must regularly check their social media pages and provide feedback. Free consultations and onboarding calls are offered, but subsequent support is provided online.
4. Warranty Disclaimer
Virtualstaffhire disclaims all warranties related to this Agreement, the services, or any materials provided to the Client, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
5. Indemnification
The Client agrees to indemnify and hold Virtualstaffhire and its affiliates, officers, agents, and employees harmless from any claims, damages, or expenses arising from the Client’s breach of this Agreement.
6. Limitation of Liability
Virtualstaffhire will not be responsible for any loss of profit, revenue, or other indirect, consequential, incidental, or special damages related to this Agreement, whether in a contract or tort action, even if we have been advised of such damages. Our total liability to you will be at most the amount paid to us for services in the preceding month. These limitations are crucial to our Agreement and are essential for its enforceability.
7. Confidentiality
Both Virtualstaffhire and the Client agree to keep all confidential information shared during the term of this Agreement confidential. Confidential information does not include information that becomes publicly known through no fault of the receiving party.
8. Intellectual Property
All content on the Virtualstaffhire website, including text, graphics, logos, and software, is the property of Virtualstaffhire or its licensors and is protected by copyright, trademark, and other intellectual property laws. Reproduction, distribution, or creation of derivative works from any content on the website without our express written permission is prohibited.
9. General Provisions
This Agreement represents the entire understanding between the parties regarding the subject matter hereof. Virtualstaffhire may update this Agreement from time to time at our sole discretion, with the most current version always available on our website. Changes will be notified to the Client’s last known email address. This Agreement is binding on and will benefit the parties’ successors and permitted assigns. The Client may not transfer this Agreement without Virtualstaffhire’s prior written consent. This Agreement is governed by laws in New South Wales, Australia, and any disputes will be resolved in the courts of Sydney, Australia. If any part of this Agreement is unenforceable, the remaining provisions will remain in effect. The waiver of any breach of this Agreement will not constitute a waiver of any subsequent breach.
10. Credit Card Disputes
If a credit card dispute arises, all work, credits, and refunds will be paused until the dispute is resolved. Resolving disputes can take several months, so we encourage negotiating a fair compromise before filing a dispute.
